Terms & Conditions

By accessing this website or entering into a services agreement with Zyniq Digital (“Zyniq”, “we”, “us”), you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you are entering into these terms on behalf of a company, you represent that you have the authority to bind that company.

Zyniq provides digital marketing and creative services, which may include SEO and GEO, social media management, performance marketing, Google Ads, Meta Ads, web and app design and development, branding, UI/UX design, and content creation. The specific scope, deliverables, timelines, and fees for your engagement are defined in a separate proposal or statement of work (“SOW”), which forms part of these terms.

We will perform the services with reasonable skill and care. Results from marketing activities depend on many factors outside our control, and no specific outcome, ranking, or revenue figure is guaranteed unless expressly stated in the SOW.

• Provide timely access to accounts, assets, brand guidelines, and approvals.
• Ensure all materials you supply are accurate and that you hold the rights to use them.
• Designate a point of contact authorized to make decisions on your behalf.
• Comply with all applicable platform policies (Google, Meta, etc.) and laws.

Delays in providing the above may affect agreed timelines and outcomes.

Fees, billing cadence, and ad-spend arrangements are set out in your SOW. Unless stated otherwise, invoices are due within fourteen (14) days of the invoice date. Late payments may incur interest and result in suspension of services. Third-party costs (such as ad spend, software, and stock licensing) are billed at cost or as specified in the SOW.

Upon full payment, final deliverables created specifically for you under an SOW are assigned to you, except for: (a) our pre-existing tools, frameworks, and know-how; (b) third-party assets licensed to you under their own terms; and (c) work not yet paid for. We may showcase non-confidential work in our portfolio and case studies unless you ask us in writing not to.

Each party agrees to keep the other’s confidential information secure and to use it only for the purpose of the engagement. This obligation survives the end of the engagement.

To the maximum extent permitted by law, Zyniq’s total liability arising out of or relating to the services shall not exceed the fees paid by you for the services in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or revenue.

Either party may terminate an engagement as described in the SOW. On termination, you agree to pay for all services performed and costs incurred up to the termination date. Sections relating to payment, intellectual property, confidentiality, and liability survive termination.

We may update these Terms & Conditions from time to time. The current version will always be posted on this page with the “Last updated” date. Continued use of our website or services after changes take effect constitutes acceptance of the revised terms.
